Bylaws Vote for April

At the March meeting, we were not able to establish a quorum, and therefore the vote on the proposed bylaws change was not held. We will be moving our vote to the April dinner meeting. Again, the proposed change is as follows:

Original Language
ARTICLE IV – BOARD OF DIRECTORS AND COMMITTEES
Section 5.

There shall be four standing committees:
Programs Committee Administration Committee Financial Committee Communications Committee

These committees will work under the general supervision of a chairperson, each of whom shall be members of the Board of Directors.

Proposed New Language
ARTICLE IV – BOARD OF DIRECTORS AND COMMITTEES
Section 5.

All standing committees shall be determined by the Board of Directors.

These committees will work under the general supervision of a chairperson, each of whom shall be members of the Board of Directors.

Rationale
This change allows the board to appoint committees that are in line with the strategic goals of the organization. The current language restricts which committees must remain standing, and this new flexibility will permit additions or updates that are more reflective of the organization’s needs.

Vote
According to the MACUMA bylaws, “Amendments to these bylaws must be approved by a majority of members present at a regular meeting of MACUMA, provided a quorum exists.” At the beginning of the meeting, should there be a quorum, a vote shall take place regarding the change to the bylaws.
